PLEASE READ THIS RISK DISCLAIMER CAREFULLY BEFORE USING THE PROVEN TRADER PLATFORM. THIS DISCLAIMER IS AN INTEGRAL PART OF THE TERMS OF SERVICE AND IS INCORPORATED THEREIN BY REFERENCE. BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THE TERMS SET FORTH BELOW.

1. General Risk Warning

TRADING AND INVESTING IN FINANCIAL INSTRUMENTS — INCLUDING STOCKS, FOREIGN EXCHANGE (FOREX), CRYPTOCURRENCIES, AND COMMODITIES — INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS. THE HIGH DEGREE OF LEVERAGE AND VOLATILITY IN THESE MARKETS CAN WORK AGAINST YOU AS WELL AS FOR YOU. BEFORE DECIDING TO TRADE OR INVEST, YOU SHOULD CAREFULLY CONSIDER YOUR INVESTMENT OBJECTIVES, LEVEL OF EXPERIENCE, AND RISK APPETITE. THE POSSIBILITY EXISTS THAT YOU COULD SUSTAIN A LOSS OF SOME OR ALL OF YOUR INITIAL INVESTMENT AND THEREFORE YOU SHOULD NOT INVEST MONEY THAT YOU CANNOT AFFORD TO LOSE.

2. No Financial Advice

Proven Trader LLC provides analytical tools and educational content only. The Platform does not provide and is not intended to provide financial advice, investment advice, trading advice, tax advice, legal advice, or any other type of professional advice.

The Company is NOT:

  • A registered investment advisor (RIA) under the Investment Advisers Act of 1940
  • A registered broker-dealer under the Securities Exchange Act of 1934
  • A commodity trading advisor (CTA) registered with the Commodity Futures Trading Commission (CFTC)
  • A member of the National Futures Association (NFA)
  • A licensed financial planner, financial advisor, or fiduciary in any jurisdiction

No fiduciary, advisory, or professional relationship is created between you and the Company by your use of the Platform.

3. Independent Decision-Making

You are solely responsible for making your own investment and trading decisions. Before executing any trade, you should:

  • Consult with a qualified, licensed financial advisor, broker, or investment professional
  • Conduct your own independent research and due diligence
  • Consider your personal financial situation, investment objectives, risk tolerance, and time horizon
  • Understand the specific risks associated with the financial instruments you are considering
  • Ensure that any trading activity complies with the laws and regulations of your jurisdiction

The Company expressly disclaims any responsibility for decisions you make based on Content provided by the Platform.

4. Past Performance Disclaimer

PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN ON THE PLATFORM.

All backtesting results, strategy scores, win rates, profit factors, expectancy calculations, Sharpe ratios, and other performance metrics displayed on the Platform are based on historical data and are subject to the following important limitations:

  • Hypothetical performance: Backtested results represent hypothetical trades that were not actually executed.
  • Hindsight bias: Backtesting strategies are designed with the benefit of hindsight.
  • Transaction costs: Backtested results may not account for all real-world transaction costs, including brokerage commissions, spread costs, slippage, swap/rollover fees, and exchange fees.
  • Liquidity: Backtested results assume that trades can be executed at the indicated prices.
  • Market conditions: Historical market conditions may not be representative of future market conditions.
  • Survivorship bias: Backtested results on currently available instruments may not account for instruments that were delisted, merged, or otherwise removed from the market.
  • Overfitting: Strategies optimized for historical data may be overfit to past conditions and may perform poorly in live trading.

5. Asset-Specific Risks

5.1 Stocks and Equities

Stock trading involves the risk of loss, including the potential loss of your entire investment. Stock prices can be affected by company-specific events, industry conditions, general economic conditions, market sentiment, and other factors.

5.2 Foreign Exchange (Forex)

Forex trading involves significant risk due to the use of leverage. Many forex brokers allow leverage ratios of 50:1 or higher. You can lose more than your initial deposit in leveraged forex trading. Additional risks include:

  • Exchange rate risk: Currency values can fluctuate rapidly and unpredictably
  • Interest rate risk: Changes in interest rate differentials can affect currency pair prices
  • Country and political risk: Political instability, economic sanctions, and government policies can cause sudden currency movements
  • Counterparty risk: The financial stability of your broker affects the safety of your funds
  • Weekend and gap risk: Forex markets can gap significantly at the open after weekends or holidays

5.3 Cryptocurrencies

Cryptocurrency trading carries extremely high risk and is highly speculative. Cryptocurrencies are:

  • Extremely volatile: Prices can fluctuate by double-digit percentages within hours or minutes
  • Largely unregulated: Most cryptocurrency markets operate without the consumer protections provided by regulated financial markets
  • Subject to technology risk: Blockchain networks, smart contracts, and exchanges can experience technical failures, hacks, or security breaches
  • Subject to regulatory risk: Government regulations can change rapidly, potentially banning, restricting, or otherwise affecting cryptocurrency trading in your jurisdiction
  • Subject to liquidity risk: Many cryptocurrencies have limited liquidity
  • Subject to exchange risk: Cryptocurrency exchanges can fail, be hacked, or freeze withdrawals, potentially resulting in complete loss of funds
  • Not insured: Unlike bank deposits, cryptocurrency holdings are typically not insured by any government agency

5.4 Commodities

Commodity trading involves substantial risk, particularly when trading futures contracts with leverage. Commodity prices can be affected by supply and demand dynamics, weather events, geopolitical factors, currency fluctuations, government policies, and seasonal patterns.

6. Signal and Data Accuracy

The signals, analysis, and market data provided through the Platform may be subject to the following:

  • Delays: Market data may be delayed by varying time periods depending on the data provider and the asset class
  • Inaccuracies: Data from third-party providers may contain errors, omissions, or inaccuracies
  • Incomplete data: Historical data may be incomplete, adjusted, or unavailable for certain periods or instruments
  • Provider outages: Third-party data providers may experience outages or interruptions
  • Signal changes: Signals are based on data at the time of generation and may change as new data becomes available

You should independently verify any signals, prices, or analysis provided by the Platform before making trading decisions.

7. Technology Risks

The Platform relies on technology infrastructure including servers, databases, APIs, and internet connectivity. The following technology-related risks may affect your use of the Platform:

  • Server downtime or maintenance that prevents access to the Platform
  • Internet connectivity issues that delay or prevent data delivery
  • Software bugs or errors that may cause incorrect calculations or display
  • Data provider API rate limits, outages, or changes that affect data availability
  • Browser compatibility issues that may affect Platform functionality

The Company does not guarantee uninterrupted access to the Platform and is not responsible for losses resulting from technology failures or outages.

8. Regulatory Considerations

Financial markets are subject to regulation by various governmental agencies. The regulatory landscape can change at any time, potentially affecting:

  • The legality of trading certain instruments in your jurisdiction
  • The availability of leverage and margin for retail traders
  • Reporting requirements for trades and positions
  • Tax treatment of trading profits and losses

It is your sole responsibility to ensure that your trading activity complies with all applicable laws and regulations in your jurisdiction. The Company does not provide legal or tax advice.

9. No Guarantees of Profit

THE COMPANY MAKES NO GUARANTEE, REPRESENTATION, OR WARRANTY THAT THE USE OF THE PLATFORM WILL GENERATE PROFITS, PREVENT LOSSES, OR ACHIEVE ANY PARTICULAR FINANCIAL RESULTS. THERE IS NO GUARANTEE THAT ANY STRATEGY, SIGNAL, OR METHODOLOGY REFERENCED ON THE PLATFORM WILL BE PROFITABLE OR WILL NOT RESULT IN LOSSES.

Trading is inherently uncertain. Even strategies with favorable historical performance metrics can and do lose money in live trading. You should be prepared for the possibility of significant financial losses.

10. Hypothetical Performance Disclosure (CFTC Rule 4.41)

HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN INHERENT LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, SINCE THE TRADES HAVE NOT ACTUALLY BEEN EXECUTED, THE RESULTS MAY HAVE UNDER- OR OVER-COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS IN GENERAL ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN.

This disclaimer is provided pursuant to Commodity Futures Trading Commission (CFTC) Rule 4.41. While the Company is not registered with the CFTC, we provide this disclosure as a matter of best practice and transparency.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROVEN TRADER LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, INVESTMENT LOSSES, OR OTHER FINANCIAL LOSSES INCURRED BY YOU, REGARDLESS OF WHETHER SUCH LOSSES WERE RELATED TO YOUR USE OF THE PLATFORM, RELIANCE ON CONTENT PROVIDED BY THE PLATFORM, OR ANY SIGNALS, ANALYSIS, OR STRATEGIES DISPLAYED ON THE PLATFORM.

This limitation of liability applies to all theories of liability, including but not limited to breach of contract, negligence, strict liability, and any other legal or equitable theory.
